1. Acceptance of Terms

By accessing or using Fabric AI's website, models, datasets, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, you must not access or use the Services. These Terms apply to all users, including individuals and organisations.

2. Definitions

• "Fabric AI," "we," "us," "our" refers to Fabric AI, the provider of the Services.
• "You," "your," "user" refers to any individual or entity accessing or using the Services.
• "Models" refers to machine learning models, including but not limited to Fabric 1.5 and Fabric Neural Network, released by Fabric AI.
• "Datasets" refers to data collections, including but not limited to the Maple dataset, released by Fabric AI.
• "Content" refers to any text, code, images, data, or other materials generated by or used with the Models.

3. Eligibility

You represent that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

4. Open Source Licensing

Fabric AI models, datasets, and associated code are released under the Apache License, Version 2.0 (the "Apache 2.0 License"), unless otherwise noted in the accompanying documentation. A copy of the Apache 2.0 License is available at https://www.apache.org/licenses/LICENSE-2.0.

Subject to your compliance with these Terms and the Apache 2.0 License, you are granted a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, distribute, and sublicense the Models and Datasets. You must include attribution to Fabric AI in all copies or substantial portions of the licensed materials.

The Apache 2.0 License does not grant you any rights to use Fabric AI's trademarks, trade names, or branding without our prior written consent.

5. Acceptable Use

You agree to use the Services in compliance with all applicable laws, regulations, and these Terms. You may not use the Services to:

• Generate, distribute, or promote illegal content or content that infringes on the rights of others
• Create harassment, hate speech, defamatory material, or content that incites violence or discrimination
• Develop weapons, surveillance systems, autonomous decision-making systems in sensitive domains (including healthcare, criminal justice, or financial lending), or any other application where model errors could result in physical harm or legal consequences, without implementing appropriate human oversight and safeguards
• Impersonate individuals or entities without explicit consent
• Attempt to extract, reconstruct, or reverse-engineer proprietary model weights, training data, architecture details, or other confidential information through adversarial methods, probing, or distillation
• Use the Services in violation of export control or sanctions laws
• Interfere with, disrupt, or degrade the integrity or performance of the Services

6. Intellectual Property

As between you and Fabric AI, Fabric AI retains all right, title, and interest in and to the Services, including the Models, Datasets, associated code, and any derivatives thereof, subject to the rights granted under the Apache 2.0 License. You retain ownership of any content you create using the Models, subject to the terms of the Apache 2.0 License and these Terms.

You grant Fabric AI a non-exclusive, royalty-free, worldwide license to use any feedback, suggestions, or improvement ideas you provide to improve the Services. You waive any moral rights in such feedback to the extent permitted by law.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FABRIC AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY.

FABRIC AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VULNERABILITIES. MODELS MAY PRODUCE INACCURATE, HARMFUL, OR UNEXPECTED OUTPUT. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE OUTPUT OF THE MODELS AND FOR ANY USE YOU MAKE OF THAT OUTPUT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FABRIC AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF FABRIC AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FABRIC AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID FABRIC AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Fabric AI, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any content you generate, distribute, or display using the Services.

10. Third-Party Services

The Services may integrate with or link to third-party services, including Hugging Face and GitHub. Fabric AI is not responsible for the availability, content, or practices of these third-party services. Your use of third-party services is subject to their respective terms and policies.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, without prior notice or liability, for any reason, including if you violate these Terms. Upon termination, your right to use the Services will immediately cease. The provisions of these Terms that by their nature should survive termination, including Sections 7, 8, 9, and 12, shall survive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The place of arbitration shall be London, England.

Notwithstanding the foregoing, Fabric AI may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

13. Export Controls

You agree to comply with all applicable export control and sanctions laws, including the UK Export Control Act and the U.S. Export Administration Regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to applicable sanctions, and that you are not a person or entity identified on any restricted party list.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with the Privacy Policy, Responsible AI Policy, and Acceptable Use Policy, constitute the entire agreement between you and Fabric AI regarding your use of the Services and supersede all prior agreements and understandings.
